End User License Agreement (EULA) for Retail Copilot

1. Introduction
This End User License Agreement (“Agreement”) is a legal agreement between you (“User” or “you”) and 22 East Digital (“Company,” “we,” “us,” or “our”) for the use of the Retail Copilot app (“App”). By downloading, installing, or using the App, you agree to be bound by the terms of this Agreement.
2. License Grant
Subject to the terms of this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal or internal business purposes.
3. Restrictions
You agree not to:
- Copy, modify, or create derivative works of the App.
- Reverse engineer, decompile, or disassemble the App.
- Rent, lease, lend, sell, redistribute, or sublicense the App.
- Use the App for any unlawful purpose or in violation of any applicable laws.
4. Ownership
The App is licensed, not sold. We retain all rights, title, and interest in and to the App, including all intellectual property rights.
5. Updates
We may provide updates, upgrades, or enhancements to the App. This Agreement will apply to any such updates, upgrades, or enhancements unless accompanied by a separate license agreement.
6. Termination
This Agreement is effective until terminated. We may terminate this Agreement at any time without notice if you violate any terms of this Agreement. Upon termination, you must cease all use of the App and delete all copies of the App.
7. Disclaimer of Warranties
The App is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of Liability
To the maximum extent permitted by law, in no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use or inability to use the App; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the App; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the App by any third party; or (v) any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the App, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, USA, without regard to its conflict of law principles.
